1- Subject

The purpose of these General Terms and Conditions of Sale (hereinafter the "GTC") is to govern the relationship between the company Kann Design (hereinafter "Kann Design") and any person purchasing a product on the website www.kanndesign.com (hereinafter the "Site").

The Products are offered for sale by Kann Design to customers who may be (i) consumers or (ii) non-professionals or (ii) professionals within the meaning of the preliminary article of the Consumer Code (hereinafter referred to as the "Customer")

Any order under a product appearing on the Site (hereinafter the "Product (s)") of Kann Design requires prior consultation of these Terms and Conditions. The Customer can order a Product (s) only if he accepts all the provisions set out below. Any order will be governed exclusively by these GTC, to the exclusion of any other condition of purchase.

Kann Design reserves the right to modify the GTC. Any new version of these will be reported on the Site.

Nevertheless, the GTC applicable to the order are those accepted by the Customer at the time of placing the order.

 

2- Characteristics of the Products

Kann Design takes the greatest care in putting information online relating to the essential characteristics of the Products, in particular by means of technical descriptions from its partners and suppliers and photographs illustrating the Products.

Kann Design reserves the right to modify or change without notice the Products presented on the Site.

The choice and purchase of a Product are the sole responsibility of the Customer.

The impossibility of using the purchased Product for any reason whatsoever, in particular for incompatibility with the equipment already owned by the Customer, may not under any circumstances give rise to compensation.

 

3- Coverage of the offer

The geographical area of coverage of the Kann Design shop offer is as follows:

  • Metropolitan France and some of its DROMs, COMs, POMs, i.e. Guadeloupe, French Guyana, Martinique, New Caledonia, Reunion, Saint Barthélémy, Saint Martin, Tahiti;
  • All European countries;
  • Some countries outside Europe: Andorra, Australia, Bahamas, Cameroon, Canada, China, Côte d'Ivoire, Czech Republic, Egypt, Hong Kong, Hungary, Iceland, Indonesia, Japan, Jordan, Kuwait, Lebanon, Liechtenstein, Mexico, Morocco, New Zealand, Norway, Poland, Russia, Saudi Arabia, Senegal, Singapore, Slovakia, South Africa, South Korea, Switzerland, Taiwan, Thailand, Turkey, United Arab Emirates, United States and Venezuela.

4- Contractual documents

When Kann Design and the Client agree, the contract is formed, in decreasing order of legal value, from the following documents:

- The present general terms and conditions of sale,

- The order form/online order.

5- Order taking

Any order form signed / Any order placed constitutes an irrevocable commitment of the Customer to contract with Kann Design for the Products that the Customer will have selected and can be questioned only in the cases restrictively provided for in the present contract in the articles "Right of withdrawal" and "Execution of the order".

6- Order confirmation

The conclusion of the contract will occur only at the time of confirmation of the order by Kann Design. The Customer will receive by e-mail an acknowledgement of receipt confirming the order with all the elements constituting the contract (products ordered, price, shipping costs ...).

Kann Design reserves the right not to confirm an order for any reason whatsoever, including either a problem of supply of products, or a problem with the order received. In case of non-confirmation of the order, Kann Design undertakes to reimburse the Customer of the deposit paid under the conditions referred to in the article "Payment".

If the purchase of the Product(s) is made by a Customer who is a consumer, the previous paragraph of this article does not apply to him.

  

7- Duration of the offer

The offers contained on the Site are valid for as long as the related Products remain on the Site and while stocks last.

8- Prices - Invoice

Prices are expressed in Euro. The price guaranteed to the Customer is the one displayed in the "reseller price list" communicated by Kann Design. The price fixed at the time of purchase is firm and final. It does not include the participation in delivery costs charged in addition and which will be indicated in the order confirmation. For a delivery within the European Union, the prices take into account the VAT applicable on the day of the order. They are therefore indicated including VAT. No other customs duties or VAT will be payable for deliveries within the European Union. Any change in the applicable rate may be reflected in the sale price of the Products on the Site. For deliveries outside the European Union, the Customer must pay any customs duties, VAT or other taxes due on the importation of the Products into the country of delivery. The related formalities are also the exclusive responsibility of the Customer, unless otherwise specified. The Customer is solely responsible for verifying the possibilities of importing the products ordered with regard to the law of the territory of the country of delivery. An invoice will be issued by Kann Design. The Customer shall specify the address to which the invoice is to be sent.

 

9- Payment

The payment of a deposit of 50% of the price including VAT is due upon placing the order. The balance of 50% of the price including VAT is due upon delivery of the order. The Customer undertakes to pay the price stipulated for the Product ordered on the Site (price of the products and transport) as well as to pay or have paid, where applicable, directly to the forwarding agent or carrier, the customs duties, VAT or other taxes due on the importation of the Products into the country of delivery. The Customer shall pay for the order by bank transfer.

10- Default of payment - Retention of title

The Products ordered remain the property of Kann Design until final and full payment of their price in accordance with the terms of Law No. 80 335 of 12 May 1980. Kann Design reserves the right to reclaim the Products ordered in case of non-payment. In this case and at the first request of Kann Design, the Customer undertakes to return any unpaid Product, all costs at his expense.

 

11- Transfer of risks

The transfer of risk to the Customer occurs upon delivery of the Products by Kann Design to the carrier. It is the same in case of sending or return of products made Free of postage.

During the withdrawal period mentioned in Article 15 below, the Customer is responsible for the Product as custodian. In case of damage or destruction of the Product during the custody of the Customer, the latter shall suffer all the consequences thereof.

If the order is placed by a Customer who is a consumer within the meaning of the introductory article of the Consumer Code, only the following provisions shall apply to him:

- the transfer of risk or loss to the consumer occurs when the consumer or a third party designated by the consumer takes physical possession of the goods, in accordance with the provisions of Article L216-2 of the Consumer Code. Where the consumer entrusts the goods to a carrier other than the one proposed by the trader, the risk of loss or damage to the goods shall pass to the consumer when the goods are handed over to the carrier, in accordance with Article L216-3 of the Consumer Code;

- during the withdrawal period mentioned in Article 15 below, the consumer is responsible for the Product as custodian. During the custody of the Product during the withdrawal period, the consumer will compensate Kann Design for the consequences of any depreciation of the products resulting from handling other than those necessary to establish the nature, characteristics and proper functioning of these products and this, in accordance with Article L221-23 of the Consumer Code.

 

12- Execution of the order

The Product(s) will be delivered as soon as possible and in any case no later than 30 days after the confirmation of the order subject to the availability of the Product(s) ordered and unless specifically agreed between the parties. In case of stock shortage or unavailability of the Product (s) ordered, Kann Design undertakes to inform the Customer as soon as possible and to specify a period of availability. The Customer will confirm by e-mail his choice either to wait for the availability of the Product or to be refunded.

If the order is placed by a Customer who is a consumer within the meaning of the introductory article of the Consumer Code, only the following provisions shall apply to him:

  • The Product(s) will be delivered at the latest within 30 days of the conclusion of the contract

13- Delivery

The geographical area of delivery corresponds to the geographical area covered by the offer. The Products are delivered to the address indicated by the Customer when ordering.

Delivery is deemed to have taken place as soon as the Product is handed over to the carrier and the transfer of risks to the Customer takes place at the same time.

The delivery note given by the carrier, dated and signed by the Customer upon delivery of the product shall constitute proof of transport and delivery.

Upon delivery, the Customer shall check the content, conformity and condition of the product(s).

In the event of delays, damage, total or partial loss, or any other problem, it is up to the Customer to exercise any recourse with the carrier without Kann Design's responsibility ever being called into question.

Upon delivery, Kann Design recommends the Customer to proceed to the observation of the state of the delivered products before signing the acknowledgement of receipt of the package. If he finds anomalies, the Customer must refuse delivery of the products or issue handwritten reserves, precise and dated. These reservations must be confirmed with the carrier by registered letter with acknowledgment of receipt within three (3) working days after delivery of the products. A copy will be sent to Kann Design.

If the order is placed by a Customer who is a consumer or a non-professional within the meaning of the introductory article of the Consumer Code, only the following provisions are applicable.

Delivery is deemed to have taken place as soon as the Product is handed over to the Customer or to a third party designated by the Customer, and the transfer of the risks of loss or damage to the Product to the Customer takes place at the same time in accordance with Articles L216-1 and L216-2 of the French Consumer Code.

However, when the Customer entrusts the Product to a carrier other than the one proposed by Kann Design, the risk of loss or damage to the Product is transferred to the Customer when the goods are handed over to the carrier (Article L216-3 of the Consumer Code)

The delivery note issued by the carrier, dated and signed by the Customer upon delivery of the Product shall constitute proof of transport and delivery.

Kann Design is automatically responsible to the Customer for the proper execution of the delivery of the product, whether this obligation is performed by Kann Design who concluded this contract or by other service providers, without prejudice to its right of recourse against them. However, Kann Design will be able to exonerate itself from all or part of its responsibility by bringing the proof that the non-performance or the bad execution of the obligation of delivery is ascribable either to the Customer, or to the fact, unforeseeable and insurmountable, of a third party to the contract, or to a case of absolute necessity and this, in accordance with the article L221-15 of the Code of the consumption

At the time of delivery, Kann Design recommends that the Customer proceed to the observation of the state of the delivered products before signing the acknowledgement of receipt of the package.

14- Force majeure 

Kann Design can not be held responsible for the non-performance of the contract due to the occurrence of an event of force majeure and without this being limiting, in case of war, riot, health crisis, insurrection, transport interruption, import problems, strike, shortage, fire, earthquake, storm, flood, bad weather (hereinafter "Force Majeure"). The occurrence of a case of Force Majeure shall initially suspend the execution of the order by operation of law. If, after a period of three (3) months, the parties note the persistence of the case of force majeure, the order will be automatically cancelled, unless otherwise agreed by both parties.

If the order is placed by a Customer who is a consumer or a non-professional within the meaning of the introductory article of the Consumer Code, only the following provisions are applicable.

Kann Design can not be held responsible for the non-performance of the contract due to the occurrence of an event of force majeure and without this being limiting, in case of war, riot, health crisis, insurrection, transport interruption, import problems, strike, shortage, fire, earthquake, storm, flood, bad weather (hereinafter "Force Majeure"). The occurrence of a Force Majeure event shall initially suspend the execution of the order by operation of law. If after a period of 1 month, the parties note the persistence of the case of force majeure, the order will be automatically cancelled, unless otherwise agreed by both parties.

 

15- Withdrawal of Products in the event of the Customer's absence

If the Customer is absent at the time of delivery, the carrier will leave a notice of passage at the delivery address indicated by the Customer.

 

16- Right of withdrawal

The signing of the order form or the placing of the order online by the Customer constitutes a confirmation of the order and shall constitute irrevocable acceptance of these general conditions.

If the order is placed by a Customer who is a consumer within the meaning of the introductory article of the Consumer Code or a professional within the meaning of article L221-3 of the Consumer Code, only the following provisions shall apply.

The Customer has a right of withdrawal to be exercised within 14 days from the day on which the Customer, or a third party other than the carrier and designated by the Customer, takes physical possession of the (last) Product, and this, without having to justify any reasons or pay any penalties, with the exception of the return costs, which remain at the Customer's expense (Article L.221-18 et seq. of the Consumer Code).

The Customer also has the possibility to exercise his right of withdrawal before the delivery of the Product.

The right of withdrawal also applies if the Product is sold out.éThe right of withdrawal also applies if the Product is on sale, second-hand or out of stock.

To exercise its right of withdrawal, the Customer must accept delivery of the order, then notify its decision to withdraw to Kann Design by means of a statement unambiguous expressing its willingness to withdraw (eg, letter sent by mail, fax or email), or

You can also fill in and submit the sample withdrawal form or any other unambiguous statement on the Site. If you use this option, we will promptly send you an acknowledgement of receipt of the withdrawal in a durable medium (e.g. by e-mail).

The declaration of withdrawal may concern all or part of the order.

The Product must be returned without undue delay and, in any event, no later than fourteen days after communication of the exercise of the right of withdrawal, to the address

The Product must be returned correctly, in its original packaging, in perfect condition (undamaged, undamaged or soiled, accompanied by any accessories, documentation, instructions, etc.) allowing it to be marketed again in new condition, and accompanied by a copy of the purchase invoice for optimum management.

In case of withdrawal by you, Kann Design shall refund to the Customer all payments received from the Customer, including delivery costs (except for additional costs arising from the fact that you have chosen, where applicable, a method of delivery other than the cheaper standard method of delivery offered by us) without undue delay and in any event no later than fourteen days from the day Kann Design is informed of the decision of the Customer to withdraw. Kann Design will make the refund using the same method of payment that the Customer used for the original transaction.

It is specified that the refund may be deferred until receipt of the Product by Kann Design or until the Customer has provided proof of shipment of the Product, the date retained being that of the first of these facts.

The right of withdrawal does not apply in particular to the following purchases:

- goods or products made to the Customer's specifications or clearly personalised;

- goods or products that are likely to deteriorate or expire quickly;

- goods or products which, after delivery and by their nature, are inseparably mixed with other articles; (e.g. remote control for a television set);

17- Warranty

In order to avoid any inconvenience, the Products are checked by Kann Design before being shipped.

In any case, the Products purchased by the Customer benefit from :

  • A contractual guarantee against all defects that the delivered Product may present for a period of 2 years from delivery subject to normal use. -
  • A legal guarantee against hidden defects provided for in articles 1641 and following of the Civil Code.

For the implementation of the guarantee, the Customer returns the Product to Kann Design at its expense, enclosing the original invoice. The Product will be exchanged for an identical Product and sent to the Customer at the expense of Kann Design, except in case of stock shortage or disappearance of the Product from the range offered by Kann Design. In the latter case, Kann Design will refund the price of the Product to the Customer.

If the order is placed by a Customer who is a consumer or a non-professional within the meaning of the introductory article of the Consumer Code, only the following provisions are applicable to him.

The Products are covered by a legal guarantee of conformity and a legal guarantee of hidden defects.

  • Legal guarantee of conformity :

 

In accordance with the provisions of the Consumer Code, Kann Design is liable for defects in the conformity of the Product under the conditions of Article L.217-3 et seq. of the Consumer Code.

 

A Product received by the Customer shall be deemed to be non-conforming if it does not correspond to the technical description or the visual characteristics present on the Product's article sheet at the time of purchase; if it is not delivered with all the accessories and installation instructions to be provided in accordance with the contract; if it does not correspond to the use specifically sought by the consumer, which was brought to the attention of the seller no later than at the time of the conclusion of the contract and which the latter has accepted A Product received with stainsédamaged.és appearance.éor not in working order or not corresponding to the à the size and/or model selected by the Customer will be considered as non-conforming.

 

If the Product corresponds à If the Product corresponds to the size, colour, model or characteristics chosen by the Customer, Kann Design will not accept a claim for non-conformity.

 

The Customer has a period of two years à from the delivery of the Product to act (article L.217-3 of the Consumer Code).

 

Defects of conformity that appear within a period of twenty-four months from the delivery of the Product are, in the absence of proof to the contrary, presumed to have existed at the time of delivery, unless this presumption is incompatible with the nature of the Product or of the alleged defect.

For second-hand Products, this period is set at twelve months (Article L217-7 of the Consumer Code).

 

In case of non-compliance of the Product(s), the Customer may contact Kann Design by email at the following address: info@kanndesign.com by sending photographs of the non-compliant Product and indicating precisely the elements that do not comply with the order.

 

Kann Design reserves the right to ask the Customer to return the non-conforming Product to Kann Design in order to investigate its claim of lack of conformity.

 

In the case of non-conformity, the initial shipping costs will be reimbursed by Kann Design on the basis of the rate charged, any return shipping costs will be borne by Kann Design, and any reshipment of the Product will be borne by Kann Design.

 

 

Prepare the possible return of the non-conforming Product(s):

To return the Product(s), the Customer must use the packaging in which the Product(s) was delivered. The Product(s) returnedé(s) must be complete (instructions, accessories, with their label etc...) in their original packaging, without having been damaged.

 

Upon receipt of the Product(s), Kann Design will judge its perfect condition as soon as possible.

 

No returns will be accepted if the Products returned have been damaged by the Customer and this damage makes the Products unfit for à resale.

 

If the return is accepted, Kann Design will then contact the Customer to offer him :

  • to be deliveredé of an identical Product à the one ordered.ésubject to stock availability;

Or

  • to repair the non-conforming Product;

Or, if the first two options for bringing the Product into compliance are not possible,

 

Or

  • to obtain a price reduction on the Product ordered;
  • to be reimbursedé of the price of the Product orderedé. This refund will be made within 14 days of receipt of the item by Kann Design;

If the compliance requested by the Customer is impossible or involves disproportionate costs, Kann Design may refuse it (Article L217-12 of the Consumer Code).

 

Any goods repaired under the legal guarantee of conformity benefit from an extension of this guarantee of six months. If the Customer chooses to have the Product repaired but this is not carried out by Kann Design, the replacement of the Product shall give rise to a new period of legal guarantee of conformity for the benefit of the Customer, starting from the day on which the replacement Product is delivered to the Customer.

 

If the return is refusedé by Kann Design, any Products that have been sent to Kann Design for verification of non-conformity will be returned to the Customer without the latter being able to claim any compensation or right to à refund, à except for the subsequent exercise of its rights relating to its other guarantees.

 

*Hidden vice

It is reminded that the Customer also benefits from a legal guarantee against hidden defects in the Product in accordance with Article 1641 of the Civil Code; in this case, he/she may choose either to cancel the sale or to reduce the sale price in accordance with Article 1644 of the Civil Code.

A hidden defect is a defect that is not apparent at the time of purchase by the consumer or non or non-professional Customer that makes the purchased Product unfit for its intended use.

The Customer has a period of 2 years from the discovery of the defect to inform Kann Design.

In the event of a hidden defect, the Customer may contact Kann Design by e-mail at the following address: info@kanndesign.com by sending photographs of the defective Product as well as indicating precisely the defect of the purchased Product. Kann Design reserves the right to ask the Customer to return the defective Product in order to study its request.

In the case of a hidden defect, the initial shipping costs will be reimbursed by Kann Design on the basis of the invoiced rate, any return shipping costs will be borne by Kann Design, and any reshipment of the Product will be borne by Kann Design.

Prepare the possible return of the Product(s):

To return the Product(s), the Customer must use the packaging in which the Product(s) was delivered. The Product(s) returnedé(s) must be complete (instructions, accessories, with their label etc...) in their original packaging, without having been damaged.

Upon receipt of the Product(s), Kann Design will judge its perfect condition as soon as possible.

No returns will be accepted if the Products returned have been damaged by the Customer and this damage makes the Products unfit for à resale.

If the return is accepted, Kann Design will then contact the Customer to offer him :

  • To be deliveredé of an identical Product à the one orderedésubject to stock availability;

Or

  • To return the Product and receive a refundé of the price of the Product orderedé. This refund will be made within 14 days of receipt of the item by Kann Design;

Or

  • to keep the Product and obtain a price reduction which will take place as soon as possible.

 

If the return is refusedé by Kann Design, the Products having been sent to Kann Design for verification of non-conformity will then be returned to the consumer or non-professional Customer at the expense of Kann Design without the Customer being able to claim any compensation or right à refund, à except for the subsequent exercise of its rights to other guarantees on the Products sold.

 

In summary:

  • Within the framework of the legal guarantee of conformity, the Customer :

- has a period of two years from the delivery of the Product to act (article L.217-3 of the Consumer Code);

- may choose between repairing or replacing the Product, or, failing that, reducing the price or terminating the contract under the conditions set out in Articles L217-8 et seq. of the Consumer Code;


- is exempted from proving the existence of a defect in the conformity of the Product for a period of twenty-four months - twelve months for Products purchased second-hand - following the delivery of the Product;

  • The legal guarantee of conformity applies independently of the commercial guarantee that may cover your Product.
  • The Customer may decide to implement the guarantee against hidden defects in the Product sold within the meaning of Article 1641 of the Civil Code and that in this case he/she may choose between the resolution of the sale or a reduction in the sale price in accordance with Article 1644 of the Civil Code.


***18- Personal information

The personal data concerning the Customer are necessary for the management of his order and his commercial relations with Kann Design. They may be transmitted to companies that contribute to these relationships such as those responsible for the execution of services and orders for their management, execution, processing and payment. This information and data is also kept for security purposes, to comply with legal and regulatory obligations and to allow us to improve and customize the services we offer and information we send you.

In the absence of communication of these data, or in case of erroneous communication, the responsibility of Kann Design can not be engaged. In these cases, the Customer remains liable for payment of the Product ordered and shipped.

In accordance with the General Data Protection Regulations and the French Data Protection Act of 6 July 1978, the Customer has the right to access, rectify and delete data concerning him/her and to oppose their processing. The Customer also has the right to define the fate of his personal data "post mortem".

If the Client wishes to exercise any or all of these rights, he may write to the company - Kann Design; info@kanndesign.com / 51 rue des Vinaigriers 75010 Parisindicating your name, first name, address, email and if possible customer reference to speed up the processing of your request.

A reply will then be sent to the Customer within one month of receipt of the request.

Depending on the choices made when creating or consulting his account, he may receive offers from Kann Design and its partner companies.

The Website is also designed to be particularly attentive to the needs of Kann Design Clients. This is one of the reasons why Kan Design uses cookies. These cookies do not allow Kann Design to identify Clients; however, they record information relating to their browsing on the Website (the pages that Clients have consulted, the date and time of consultation, etc.) that Kann Design can read during subsequent visits by Clients.

If the Client no longer wishes to do so, he may at any time make a request to Kann Design by specifying it in the "tools" and "options" menu.

19- Evidence

The computerized records, kept in Kann Design’s computer systems under reasonable security conditions will be considered as proof of communication, orders and payments made between the parties.
The archiving of purchase orders and invoices is carried out on a reliable and durable medium that can be produced as evidence.

20- Intellectual property

Kann Design is the owner of intellectual property rights on the Products and other elements present on its Site (hereinafter "the Content") including under copyright, designs and models. Consequently, the partial or total reproduction, on any medium of the Content, its use and its availability to third parties are strictly prohibited and would constitute an infringement punishable by Articles L. 335-2 and following of the Code of Intellectual Property.

21- Entire contract

These general terms and conditions of sale express the entirety of the obligations of the parties. No other general or specific condition communicated by the Client may be integrated into or derogate from these general conditions, unless expressly agreed by the parties.

22- Non-waiver

The fact that Kann Design does not rely on a breach by the Customer of any of its obligations shall not be construed as a waiver of the obligation concerned and to rely on this breach later.

23- Nullity

If one or more of the provisions of these GTC are held to be invalid or declared as such in application of a law, a regulation or following a final decision of a competent court, the other provisions shall retain all their force and scope, except in the event of the invalidity of an essential clause of the GTCS, which may lead to the cancellation of all or part of the GTCS.

 

24- Different

The GTC are subject to French law.

In case of unresolved dispute after referral to the customer service of Kann Design, jurisdiction is expressly assigned to the courts of the jurisdiction of the headquarters of Kann Design, notwithstanding warranty or multiple defendants, even for emergency proceedings or protective proceedings in summary or by petition.

If the order is placed by a Customer who is a consumer or a non-professional within the meaning of the first article of the Consumer Code, the above provisions concerning the place of jurisdiction do not apply.

The Customer may take action in the courts of his country of residence.

In addition, when a dispute arises, the Customer will apply in priority to the customer service of Kann Design for an amicable solution:

In case of unresolved dispute after referral to the customer service of Kann Design, the Customer has the opportunity to refer, before any referral to a judge, the mediator of consumption chosen by Kann Design whose coordinates are the following:

If the conditions are met, a consumer mediation will take place according to a precise process and the texts in force.
